Anti-dilution provision | 지분희석방지조항

투자자의 보유 지분이 기업의 후속투자 시 투자자가 투자한 주당 가격보다 더 낮은 투자 단가로 신주를 발행함에 따라 발생 할 수 있는 지분의 과도한 희석을 방지하는 조항이다.
일반적으로 더 낮은 가격으로 발행 된 주식의 가격과 동일한 가격으로 새로이 적용하여 보유 주식의 수를 재 산정하게 된다.

The most commonly used adjustment provides partial protection and is called Weighted Average. 

 

一项合同条款，可保护投资者免于由于公司向其他实体发行额外股份而大幅减少公司的持股比例。进行调整以保持相同的所有权百分比的机制称为“完全棘轮”。最常用的调整提供部分保护，称为加权平均。
